1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "User", "Customer") and Makerise Innovations Private Limited ("Makerise", "MAKEVERY", "Company", "we", "us", "our"), a company incorporated under the Companies Act, 2013, having CIN U22209CT2025PTC018223 and its registered office at SF20, Spectrum Metro Mall, Phase 1, Noida – 201301, Uttar Pradesh, India.

These Terms govern your access to and use of https://makevery.in (the "Website"), and your purchase and use of our machines, hardware, materials, consumables, firmware, software, documentation, and services (collectively, the "Products and Services").

This is an electronic record under the Information Technology Act, 2000 and does not require any physical or digital signature.

BY ACCESSING THE WEBSITE, PLACING AN ORDER, OR USING ANY PRODUCT OR SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE WEBSITE, PRODUCTS, OR SERVICES.

2. Eligibility

You represent and warrant that you are at least 18 years of age and competent to contract under the Indian Contract Act, 1872. If you accept these Terms on behalf of a company, firm, institution, or other entity, you represent that you are duly authorised to bind that entity, and "you" shall refer to that entity.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

3. Account Registration

3.1 Certain features require account registration. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 You are solely responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at contact@makevery.in of any unauthorised use. We are not liable for any loss arising from unauthorised use of your account.

3.3 We may suspend or terminate any account that we reasonably believe has been used in breach of these Terms or applicable law.

4. Products, Specifications, and Website Content

4.1 Product descriptions, images, renderings, specifications, build volumes, speeds, tolerances, material compatibilities, and performance figures are indicative only and are provided for general guidance. Actual performance depends on materials, environment, configuration, operator skill, geometry, and process parameters.

4.2 We make no representation or warranty that any Product will achieve any particular print quality, dimensional accuracy, mechanical strength, fibre volume fraction, void content, throughput, or fitness for any specific application, unless expressly agreed in a separate written specification signed by an authorised representative of the Company.

4.3 We reserve the right to modify, discontinue, or improve any Product, specification, firmware, or feature at any time without prior notice, including through over-the-air or manual firmware updates.

4.4 We make reasonable efforts to keep Website content accurate but do not warrant that it is complete, current, or error-free. Typographical, pricing, and specification errors may occur and may be corrected without liability.

5. Orders, Pricing, Taxes, and Payment

5.1 Every order placed by you is an offer to purchase. A contract is formed only when we issue a written order confirmation or dispatch the Product, whichever is earlier. We may decline or cancel any order at our discretion, including for pricing errors, stock unavailability, suspected fraud, or export-control concerns, and will refund amounts already paid for such cancelled orders.

5.2 Prices are quoted in Indian Rupees (INR) and are exclusive of GST and other applicable taxes, duties, freight, insurance, installation, and levies unless expressly stated otherwise. GST will be charged at the prevailing rate. You are responsible for providing a correct GSTIN where input credit is sought; we are not liable for credit denied due to incorrect particulars supplied by you.

5.3 Prices are subject to change without notice. Quotations are valid for the period stated therein, or thirty (30) days if no period is stated.

5.4 For capital equipment, an advance payment of 50% is payable with the purchase order and the balance prior to dispatch, unless otherwise agreed in writing.

5.5 Payments are processed through third-party payment gateways. We are not responsible for gateway failures, declined transactions, chargebacks, or delays. Overdue amounts may attract interest at 1.5% per month or the maximum permitted by law, whichever is lower.

5.6 Title in the Products passes to you only upon receipt of full payment in cleared funds. Risk passes on delivery to you or your nominated carrier.

6. Shipping, Delivery, and Installation

6.1 Delivery timelines are estimates only and are not of the essence of the contract. We shall not be liable for any loss, cost, or damage arising from delay in delivery.

6.2 Delivery is made by third-party logistics providers. Risk of loss or damage in transit passes to you upon handover to the carrier. You must inspect all consignments on arrival and record any visible damage or shortage on the delivery challan and report it to us in writing within forty-eight (48) hours. Claims reported thereafter will not be entertained.

6.3 Installation, commissioning, and training, where offered, are subject to a separate scope and charges. You are responsible at your own cost for site readiness, including power supply of the specified rating and stability, earthing, ventilation, ambient temperature and humidity control, network access, and safe working space.

7. Cancellation, Returns, and Refunds

7.1 Made-to-order machines, customised configurations, and opened material or consumable packages are not cancellable, returnable, or refundable.

7.2 Cancellation requests for standard catalogue items must be made in writing before dispatch. Cancellations after production has commenced may attract a restocking or cancellation charge of up to 25% of the order value.

7.3 Returns are accepted only where the Product is materially defective on delivery or materially different from the confirmed specification, and only where reported within the timelines in Clause 6.2 and returned in original packaging with all accessories. Return shipping and insurance are at your cost unless the defect is attributable to us.

7.4 Approved refunds will be processed to the original payment instrument within ten (10) business days of our approval, net of shipping, gateway, and restocking charges. Bank processing timelines are outside our control.

7.5 Nothing in this Clause limits any non-waivable right available to a "consumer" under the Consumer Protection Act, 2019.

8. Limited Warranty

8.1 We warrant that the machine hardware, when used in accordance with our documentation, will be free from defects in materials and workmanship for a period of twelve (12) months from the date of delivery ("Warranty Period").

8.2 The warranty does not cover, and shall stand void in the event of:

  • (a) consumables and wear parts, including nozzles, syringes, cartridges, mixing elements, belts, bearings, build surfaces, tubing, seals, filters, and fibre or resin materials;
  • (b) damage from misuse, abuse, accident, dropping, overloading, or operation outside published parameters;
  • (c) power surges, voltage fluctuation, improper earthing, lightning, water ingress, dust, corrosive atmosphere, or unsuitable environment;
  • (d) unauthorised repair, disassembly, modification, tampering, or use of non-approved spares, materials, or third-party firmware;
  • (e) removal, defacement, or alteration of serial numbers or warranty seals;
  • (f) normal wear and tear, cosmetic damage, or consumable degradation;
  • (g) failure to perform prescribed preventive maintenance and calibration;
  • (h) force majeure events.

8.3 Software and firmware are provided "as is". We do not warrant that they will be uninterrupted, error-free, compatible with any third-party slicer, CAD package, or operating system, or that all defects will be corrected.

8.4 Your sole and exclusive remedy for breach of warranty shall be, at our sole option: (i) repair of the defective Product; (ii) replacement of the defective part or Product; or (iii) refund of the amount paid for the affected Product. This is your only remedy and our only obligation.

8.5 All other warranties, conditions, and representations, whether express, implied, statutory, or otherwise — including any implied warranty of merchantability, satisfactory quality, or fitness for a particular purpose — are excluded to the maximum extent permitted by applicable law.

9. Safety, Operator Responsibility, and Permitted Use

9.1 Additive manufacturing equipment involves inherent hazards, including heated surfaces and extruders, moving axes and pinch points, high-voltage electrical components, chemical exposure from resins, epoxies, hardeners, solvents, and binders, airborne particulates and volatile organic compounds, respiratory and dermal sensitisation, sharp fibre and tow handling, and stored mechanical energy.

9.2 You are solely responsible for: reading and complying with all manuals, safety notices, and Material Safety Data Sheets; providing adequate ventilation or fume extraction; providing and requiring appropriate personal protective equipment; training and supervising operators; complying with all applicable workplace safety, factory, fire, environmental, and hazardous-substance laws; and restricting access to trained personnel only.

9.3 Critical-application restriction. The Products are not designed, tested, certified, or intended for use in life-support systems, medical implants or devices, aerospace flight-critical or human-rated structures, nuclear facilities, automotive safety-critical components, or any other application where failure could result in death, personal injury, or catastrophic loss ("Critical Applications"). Any use in a Critical Application is entirely at your own risk, and you shall fully indemnify us against all resulting claims.

9.4 You are solely responsible for qualifying, testing, validating, and certifying any part produced using our Products for its intended end use. We make no representation as to the suitability of any printed part for any purpose.

9.5 Prohibited use. You shall not use the Products or Services to manufacture firearms, weapons, ammunition, or components thereof; counterfeit, infringing, or unlawful goods; or anything in contravention of applicable law, export control, or sanctions regimes. You shall not reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, toolpath logic, or design of any Product except to the limited extent such restriction is expressly prohibited by law.

10. Intellectual Property

10.1 All intellectual property in and relating to the Products and Services — including the Incept-1 platform and its variants, patents, patent applications, designs, trademarks, trade names, brand elements including "MAKEVERY", copyrights, firmware, toolpath and slicing algorithms, source code, drawings, documentation, know-how, and trade secrets — is and shall remain the exclusive property of Makerise Innovations Private Limited or its licensors.

10.2 Purchase of a Product conveys no licence to any intellectual property other than a limited, non-exclusive, non-transferable, revocable licence to use the embedded firmware and accompanying software solely to operate the specific unit purchased, for its intended purpose, in unmodified form.

10.3 You shall not copy, distribute, sublicense, sell, lease, publish, or create derivative works from any of our software, firmware, documentation, or Website content without prior written consent.

10.4 Open-source components. Certain software may incorporate third-party open-source components licensed under their own terms. Those terms govern to the extent of any conflict with this Clause 10, and applicable licence texts and notices are made available with the software or on request.

10.5 Feedback. Any suggestions, feedback, or improvement ideas you provide may be used by us freely, without obligation, attribution, or compensation.

10.6 Your content. You retain ownership of your designs and User Content. You grant us a limited, non-exclusive licence to process such content solely to provide the Services you request.

11. Acceptable Use of the Website

You shall not: (a) use the Website for any unlawful purpose or in violation of these Terms; (b) upload viruses, malware, or harmful code; (c) attempt to gain unauthorised access to our systems, accounts, or networks; (d) scrape, crawl, data-mine, or use automated means to extract content without written permission; (e) interfere with or disrupt the Website's operation or security; (f) impersonate any person or misrepresent your affiliation; (g) post unlawful, defamatory, obscene, infringing, or misleading content; or (h) use the Website to transmit unsolicited commercial communications.

We may remove content and suspend access at our discretion, without notice or liability.

12. Third-Party Links, Products, and Services

The Website may link to or integrate third-party websites, marketplaces, slicers, CAD tools, payment gateways, logistics providers, or materials. We do not endorse, control, or accept responsibility for any third party, their products, content, availability, or practices. Any dealings with third parties are solely between you and them.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, PRODUCTS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

We expressly disclaim all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Website will be secure, available at all times, or free of viruses; that results obtained will be accurate or reliable; or that any defect will be corrected.

No advice or information, whether oral or written, obtained from us or through the Services creates any warranty not expressly stated in these Terms.

14. Limitation of Liability

14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAKERISE, ITS DIRECTORS, OFFICERS, EMPLOYEES, ADVISORS, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, or for any loss of profits, revenue, production, business, contracts, goodwill, anticipated savings, data, design files, or business opportunity, however caused and under any theory of liability (contract, tort, negligence, strict liability, statute, or otherwise), even if we have been advised of the possibility of such damages.

14.2 Our total aggregate liability arising out of or in connection with these Terms, the Website, or any Product or Service, whether in contract, tort, or otherwise, shall not exceed the amount actually paid by you to us for the specific Product or Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.

14.3 We shall not be liable for any loss or damage arising from: (a) your failure to follow documentation, safety instructions, or maintenance schedules; (b) use of non-approved materials, spares, firmware, or third-party software; (c) modification of any Product; (d) unsuitable site, power, or environmental conditions; (e) acts or omissions of third parties including carriers, gateways, and hosting providers; (f) unauthorised access to your account or data; or (g) any Critical Application use under Clause 9.3.

14.4 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Indian law, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, product liability under the Consumer Protection Act, 2019 to the extent non-excludable, or any other statutory liability that cannot be contracted out of. Where any exclusion or limitation is held unenforceable, it shall be reduced to the minimum extent necessary and the remainder shall continue in force.

15. Indemnity

You agree to defend, indemnify, and hold harmless Makerise, its directors, officers, employees, advisors, and affiliates from and against all claims, demands, actions, proceedings, losses, liabilities, damages, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms or applicable law; (b) your misuse of any Product or Service; (c) parts, goods, or content you produce, distribute, or sell using our Products; (d) any Critical Application use; (e) your infringement of any third-party intellectual property or other right; (f) your User Content; or (g) injury to any person or property arising from your operation of the Products.

16. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, fire, flood, earthquake, epidemic or pandemic, war, terrorism, civil unrest, strikes, labour disputes, governmental action, change in law, import or export restriction, sanctions, power failure, internet or telecommunications outage, cyber attack, component shortage, or supply chain disruption. If such an event continues for more than ninety (90) days, either party may terminate the affected order without liability, save for payment for work already performed.

17. Confidentiality

Each party shall keep confidential all non-public technical, commercial, and financial information disclosed by the other and shall not disclose it to any third party without prior written consent, except to advisers bound by confidentiality or as required by law. This obligation survives termination for three (3) years.

18. Term, Suspension, and Termination

18.1 These Terms remain in force while you use the Website, Products, or Services.

18.2 We may suspend or terminate your access immediately, without notice or liability, if you breach these Terms, fail to make payment when due, or engage in unlawful or harmful conduct.

18.3 Clauses relating to intellectual property, disclaimers, limitation of liability, indemnity, confidentiality, governing law, and dispute resolution survive termination.

19. Governing Law and Dispute Resolution

19.1 These Terms are governed by and construed in accordance with the laws of India.

19.2 Amicable resolution. The parties shall first attempt in good faith to resolve any dispute through discussion within thirty (30) days of written notice.

19.3 Arbitration. Failing amicable resolution, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration shall be Durg, Chhattisgarh, India, and the language shall be English. The award shall be final and binding.

19.4 Jurisdiction. Subject to Clause 19.3, the courts at Durg, Chhattisgarh, India shall have exclusive jurisdiction.

19.5 Nothing prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

20. General Provisions

20.1 Entire agreement. These Terms, together with the Privacy Policy and any signed purchase order, quotation, or written agreement, constitute the entire agreement between the parties and supersede all prior discussions, representations, and understandings.

20.2 Order of precedence. In case of conflict, a signed written agreement between the parties prevails over these Terms, which prevail over any other document. Any terms printed on your purchase order or other documents are expressly rejected and shall not apply.

20.3 Severability. If any provision is held invalid or unenforceable, it shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force.

20.4 Waiver. No failure or delay in exercising any right shall operate as a waiver of that or any other right.

20.5 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign freely, including in connection with a merger, acquisition, financing, or sale of assets.

20.6 No partnership. Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship.

20.7 Notices. Notices to us must be sent to contact@makevery.in and to our registered office. Notices to you may be sent to the email or address in your account.

20.8 Amendments. We may revise these Terms at any time by posting the updated version on the Website with a revised "Last Updated" date. Continued use after posting constitutes acceptance. It is your responsibility to review these Terms periodically.

20.9 Language. These Terms are executed in English, which shall prevail over any translation.
